Amazon.com shareholder proposal 3 is in response to the Massachusetts State Carpenters Pension Fund,
holders of 9,500 shares of nasdaq: AMZN as of 12/31/2004. The pension fund has proposed that
shareholders of Amazon.com, Inc. request that the Board of Directors amend policies to require
director nominees be elected by a shareholder majority vote. Currently a single vote from Amazon's
board will suffice. Amazon.com, Inc.'s Board of Directors recommends AGAINST this proposal.
